The terms, plainly
Two parts, one page. Part I governs your use of nexaethos.com — the public pages describing NexaEthos and Nexa Agora. Part II is the Terms of Service for the Nexa Agora application itself. Separate signed agreements — beta agreement, order form, design partner agreement, data processing agreement — prevail over this page where they conflict.
Part I — The website
1. Who we are

Nexa Agora is a product developed and operated by NexaEthos.
2. What these terms cover
These terms cover access to and use of the public website, including its text, design, product explanations, demonstrations, forms, and other publicly available content.
If NexaEthos offers you access to Nexa Agora, a beta environment, a paid workspace, a design partner engagement, or another service, separate terms will apply. Those separate terms will be provided before the relevant service or engagement begins.
3. What this website provides
This website provides information about NexaEthos, Nexa Agora, its current capabilities, its development direction, and the ways in which individuals and organizations may express interest in accessing the product.
Product demonstrations, interface previews, animated visualizations, and examples are intended to explain how Nexa Agora works. They are illustrative and do not guarantee that every feature, integration, deployment option, or plan will be available to every user or at every stage of the product.
Features described as beta, early access, coming at general availability, planned, or under development may change before release. Only the capabilities, service levels, and commercial conditions expressly included in an agreement with NexaEthos are contractually binding.
4. Access requests
Submitting an access request does not create a contract, guarantee admission to a beta or early-access program, reserve a workspace, or oblige NexaEthos to provide access.
Requests may be reviewed based on product readiness, available capacity, technical fit, security requirements, and the nature of the proposed workflow.
If NexaEthos offers access or proposes an engagement, the applicable terms will be provided before the service begins.
Personal data submitted through an access or contact form is handled as described in the Privacy Notice; the external services the product relies on are listed in the sub-processor register.
Part II — Nexa Agora Terms of Service
These terms are an agreement between NexaEthos S.L. (“NexaEthos”, “we”) and the customer accepting them (“you”). They govern access to and use of Nexa Agora — the governed AI workplace operated by NexaEthos, including its web application, APIs, connectors and agents. If you accept them on behalf of an organization, you confirm you have authority to bind that organization.
1. The service
Nexa Agora is a workspace where people and AI agents work together under explicit governance: roles, permissions, approvals, audit trails, and organizational memory. AI agents propose and execute work under the rules your organization configures; oversight mechanisms — approvals, pending actions, audit — are part of the product's design.
The service includes AI-generated content. AI outputs can be incorrect or incomplete, and the product's governance features — review steps, approvals, provenance — exist to keep a human able to verify and decide. You remain responsible for the decisions made and the actions approved in your workspace.
2. Accounts and workspaces
Each workspace is a private tenant environment. You are responsible for the accuracy of account information, for safeguarding credentials, and for the actions of the users and agents you enable. Administrators control roles, permissions and integrations for their workspace and are responsible for those configurations.
The service is intended for professional use. You must be at least 18 years old to hold an account.
3. Beta and early access
Parts of the service are offered as beta or early access. Beta features are identified as such in the product or on the plans page, may change or be withdrawn, and carry no committed service level. During the beta phase, support response times are best-effort; a formal support commitment will be introduced once calibrated on real ticket volume.
4. Plans, billing and taxes
Paid plans, prices and included capacity are described on the plans page Soon or in your order form. Billing is processed by Stripe; free workspaces send nothing to Stripe. Prices are stated excluding VAT and applicable taxes.
Subscriptions renew automatically for the same period unless cancelled before renewal; cancellation takes effect at the end of the paid period, and partial periods are not refunded. Prices may change with at least 30 days' notice, effective from the next renewal.
5. Your content and your data
You own your content. Documents, messages, configurations, and any material you or your users submit remain yours. You grant NexaEthos the rights needed to operate the service on it — hosting, processing, displaying, and passing it to the listed sub-processors under your configuration. As between you and NexaEthos, you own the outputs your workspace's agents generate from your content, to the extent permitted by law.
Your data is used to deliver the service to you — it is not used to train shared or third-party models, and what your organisation's memory learns stays inside your tenant.
Processing of personal data is governed by the Data Processing Agreement provided with the early-access or subscription agreement. The current sub-processors, their regions and transfer safeguards are published in the sub-processor register; new sub-processors are announced at least 14 days before activation, and you may object through support within that window. Workspaces on the default European posture keep chat reasoning, embeddings, OCR, database and document storage in EU regions.
6. Your own keys and self-hosted models
Where you connect your own model keys or route AI through the bridge to self-hosted models, that route runs under your provider agreement or on your infrastructure: you are responsible for those terms, costs and capacity, and NexaEthos is not a party to them. In sovereign mode, no chat content reaches any model sub-processor in the register.
7. Integrations you connect
Optional integrations — mailboxes, calendars, read-only repository access, external web search — run only if you connect them, under the scopes you grant, and can be disconnected. You are responsible for having the right to connect the accounts and data you connect.
8. Acceptable use
You may not use the service to break the law or infringe others' rights; attempt to breach tenant isolation or probe other customers' workspaces; resell the service outside a partner agreement; distribute spam or malware; systematically extract outputs to build a competing product; or run use cases the product is not designed for and that applicable law treats as high-risk without your own required safeguards — as the deployer, you remain responsible for your use cases.
NexaEthos may suspend access that endangers the service or other customers, with notice where practicable.
9. Transparency about AI
The product makes clear when you are interacting with an AI agent, and AI-generated artifacts carry provenance — authorship and audit trail — inside the workspace, in line with EU AI Act transparency obligations.
10. NexaEthos' property
The platform — software, design, documentation, and the NexaEthos and Nexa Agora trademarks — remains NexaEthos' property. Open-source components published by NexaEthos are governed by their own licenses. Feedback you choose to give may be used to improve the product without obligation.
11. Warranties and liability
The service is provided “as is” during the beta phase. To the maximum extent permitted by law, NexaEthos disclaims implied warranties and is not liable for indirect or consequential damages, loss of profits or loss of data; nothing in these terms limits liability that cannot be limited under applicable law, including for wilful misconduct or gross negligence.
NexaEthos' total liability is capped at the amounts you paid for the service in the twelve months preceding the claim, or €100 where no amounts were paid. Given section 1, NexaEthos is not liable for decisions you take on the basis of AI-generated content that the product's governance features gave you the means to review.
12. Term, suspension, termination
These terms apply while you use the service. You can stop at any time; deleting a workspace triggers the erasure discipline described in the Data Processing Agreement. NexaEthos may terminate for material breach not remedied within 15 days of notice, or discontinue the service on 90 days' notice — in both cases with a window to export your data using the product's export capabilities.
13. Changes to these terms
These terms may be updated; material changes are announced at least 30 days in advance by email and in-product notice, and continued use after the effective date is acceptance. The dated history of this page stays public — the same on-the-record discipline as the rest of the platform.
14. Law and jurisdiction
These terms are governed by Spanish law, with exclusive jurisdiction of the courts of the place of NexaEthos' registered office in Spain, without prejudice to mandatory rules that may apply in your favour. The English text governs; translations are provided for convenience.
